Listing Agreement/Terms

This Agreement is entered between Creativa Guides LLC an AZ Limited Liability Corporation (referred to as "Creativa Guides", "Creativa" or "Publisher"), and you (referred to as "Advertiser").

1. Creativa Guides publishes a promotional Web site; creativaguides.com (referred to as "The Web site"), focusing on creative services.

2. Advertiser desires to have her/his name and description included in The Web site in the form of a single free listing for at least one full calendar year or until a date wholly, and solely, determined or altered by Creativa Guides.

3. Advertiser agrees to a single listing in The Web site, said listing to reflect the name, city, state, telephone number, Web site of the Advertiser along with a description of the Advertiser's capabilities as they relate to the chosen classification.

4. Creativa Guides reserves final approval of the layout and content.

5. Creativa Guides reserves the right to publish or not publish free listings.

6. Creativa Guides assumes no liability for omissions or incorrect placement of information in advertisements and/or listings.

7. All advertisements and/or listings are accepted and published under the representation that the Advertiser is authorized to publish the entire contents and subject matter thereof. The Advertiser will indemnify and hold Creativa Guides harmless from and against any loss or expenses resulting from claims or suits based upon the contents or subject matter of such advertisements and/or listings, including, without limitation, claims or suits for libel, violations or rights of privacy, and copyright infringement.

8. Advertiser accepts full liability in regards to client names and/or trademark names used in listing. Releases must be adequate and readily available for inspection upon request.

Single-Image Upgrade Promotion Official Rules

NO PURCHASE IS NECESSARY
VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE, AND LOCAL LAWS APPLY.

This Promotion is intended for viewing and participation by Commercial Photographers in the indicated markets served by the publisher. Please do not proceed if you are not an active Commercial Photographer in the state of your selected market at time of entry. Void where prohibited. The Single Image Upgrade Promotion ("The Promotion") is sponsored by Creativa Guides LLC, 719 W McDowell Rd, Phoenix, Arizona 85007.

1. Number of winners is determined by the number of valid classifications; one winner per classification. You are entered into the drawing by signing up for your free listing on the creativaguides.com Web site. Limit one entry per entrant. Persons attempting to submit more than one entry per day or who attempt to register using multiple e-mail addresses are subject to disqualification. Void where prohibited. Employees of Creativa Guides LLC, its officers and directors are not eligible to enter the Drawing.

2. To be eligible for the Prize, you must sign up online for your free listing by 11:59 pm Mountain Standard Time on 30 July 2010. Sponsor's computer will serve as the official time keeping device for the Drawing. Sponsor is not responsible for late, lost, incomplete, damaged, misdirected entries or inaccurate transfer of entry information, human error, errors in Promotion materials including, without limitation, these Official Rules, technical malfunctions, lost-delayed data transmissions, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment or software or any combination thereof, inability to access web sites, damages to a user's computer system (hardware and software) due to participation in this Promotion or any other problem or error that may occur. By participating in The Promotion, participants agree to these Official Rules and waive any ambiguity related thereto.

3. Prizes are not transferable. No prize substitution or cash redemptions for non-cash prizes, unless so stated in the Official Rules. All federal, state and local taxes, if applicable, are the winner's sole responsibility. The value of each Promotion prize represents that prize donor's good faith determination of the suggested value thereof and such determination is final for all purposes and cannot be appealed. If the actual value of a prize turns out to be less than the stated suggested value, the difference will not be awarded in cash to the prize winner.

4. The total retail value of Single-Image Upgrade prize to be awarded in each classification is approximately $250.00 each.

5. The winner of the Prize will be determined by random drawing from all eligible entries within each classification received by the Prize Deadline; the drawing will be held at the Creativa Guides LLC on or about 31 July 2010. Odds will be determined by the number of listings submitted in each classification by the Deadline. Creativa Guides LLC's decision is final in all matters and issues relating to the Promotion. Entries are null and void and will be rejected if any part is illegible, mutilated, mechanically reproduced, or forged. Entries are the property of Creativa Guides LLC and will not be returned. Creativa Guides LLC's decision is final with respect to all Promotion matters, including the awarding of prizes.

6. The winners will be notified by e-mail or as determined by Creativa Guides LLC.

7. The winner waives the right to assert, as a cost of winning a prize, any and all cost of redemption, delivery or travel to redeem said prize, and any liability which might arise from redeeming, or seeking to redeem and utilize said prize. The prize is neither transferable nor assignable. The value of the non-cash prize is determined solely by the prize donor and such determination is final for all purposes and cannot be appealed. Taxes, if applicable, are the winner's sole responsibility.

8. By participating in The Promotion, the potential winner releases Creativa Guides LLC and its and their respective employees, directors, trustees, agents, successors and assigns including, without limitation, advertising and promotion agencies contributing to The Promotion, from and against any and all liability with respect to participation in The Promotion or the acceptance or use of a prize including, without limitation, any injury, loss, damage, cost or expense of any kind, (including without limitation, property damage, personal injury, death and attorneys' fees) and acknowledges that said parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, regarding any prize's quality, mechanical condition or fitness. Creativa Guides LLC is not responsible for malfunction, fit, availability, delays or damage in delivery of prizes. If a listed prize is not available, substitution is at Sponsor's discretion, but will be of equal or greater value. By accepting a prize, winner consents to the use of his/her name and/or likeness for publicity/advertising purposes by Creativa Guides LLC without notice, approval, review or additional compensation in all media now known or hereafter invented throughout the universe. After accepting a prize per these Official Rules, the winner cannot return the prize to Creativa Guides LLC after that thirty (30) day period following the date of the initial notification of the outcome to the winner.

9. The use of any automated launching or entry software or any other mechanical or electronic means that permits the entrant to automatically enter repeatedly is prohibited. If for any reason The Promotion is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of The Promotion, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend the Drawing. Should The Promotion be terminated, Sponsor reserves the right to select potential winners in a random drawing from among all eligible, non-suspect entries received as of the action requiring such termination. In the event of a dispute as to who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the person assigned to an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses to the domain associated with the e-mail address in question. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS DRAWING IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

10. The Promotion's winners' names can be obtained after 01 September 2010 by sending a stamped self-addressed business envelope to the address below. Requests must be received by 12 September 2010. Limit: one (1) winners' list request per address.
